Terms of Service

Effective Date: October 4, 2025

These Terms of Service ("Terms") govern your access to and use of KeyPears, a password management service provided by Identellica LLC ("we", "us", or "our"). By using KeyPears, you agree to these Terms.

1. Acceptance of Terms

By accessing or using KeyPears, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our service.

2. Description of Service

KeyPears is a password management application that provides:

  • Local-first encrypted storage of secrets
  • Optional synchronization across devices
  • Secure sharing of secrets with other users
  • Self-hosting capabilities

3. User Accounts

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

4. Master Password

  • Your master password encrypts your master key
  • We cannot recover or reset your master password
  • Loss of your master password may result in permanent loss of access to your encrypted data
  • You are solely responsible for remembering your master password

5. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Transmit viruses or malicious code
  • Violate the rights of others
  • Use the service to store or share illegal content

6. Data and Privacy

  • Your encrypted data is stored on our servers only if you opt-in to synchronization
  • We cannot decrypt your secrets
  • You retain all rights to your data
  • See our Privacy Policy for detailed information about data handling

7. Service Availability

  • We strive to maintain service availability but do not guarantee uninterrupted access
  • We may perform maintenance that temporarily interrupts service
  • We are not liable for any data loss; you are responsible for maintaining backups

8. Open Source

KeyPears is open source software licensed under Apache 2.0. The source code is available for review and you may run your own instance of the software.

9. Self-Hosting

  • You may self-host KeyPears nodes
  • Self-hosted instances are your responsibility
  • These Terms apply only to services provided by Identellica LLC at keypears.com

10. Termination

  • You may terminate your account at any time
  • We may suspend or terminate your account for violation of these Terms
  • Upon termination, your access to synchronized data on our servers will be removed

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

12. Indemnification

You agree to indemnify and hold harmless Identellica LLC from any claims arising from your use of the service or violation of these Terms.

13. Changes to Terms

We may modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.
